Taiwan Company (Subsidiary) Registration Procedures

1. Application to Department of Commerce, MOEA to reserve a Chinese company name

General information required:
Application for Reservation of Corporate Name and Business Scope (Chinese name of the proposed company and type of organization, applicant‘s name, chop, passport or ID card number and residence address)


Note: The applicant should be one of the incorporators


2. Application to Investment Commission of MOEA, SPA or EPZA (based on location of the invested company) for approval of foreign investors

General information required:
(1) Application form
(2) Amount of foreign investment to be contributed in cash
(3) Composition of total capital investment
(4) Documents required from the foreign investor:
(a) Photocopy of Certificate of Incorporation or passport (authenticated by the representative of the Taiwan government in the country where the foreign company is resident)
(b) Power of Attorney appointing an ROC individual as attorney-in-fact to file the application (authenticated by the representative of the Taiwan government in the country where the foreign company is resident)


3. Application to Investment Commission of MOEA to examine and certify foreign equity investment

Documents required:
(1) Application form
(2) Notice of inward remittance
(3) Exchange memo
(4) Copy of bank passbook


4. Application to relevant authorities for approval of company registration

General information required:
(1) Amount of capital, par value per share, total number of shares and number of shares to be issued for incorporation
(2) Name, address and number of shares subscribed and paid for by each incorporator
(3) Names of directors and supervisors and their terms of office
(4) Name of chairperson of the board
(5) Percentage of after-tax profits to be shared by the company’s employees, if any
(6) Accounting year


Documents required:
(1) Application form
(2) Articles of incorporation
(3) Minutes of the incorporators?meeting
(4) Minutes of the Board of Directors?meeting and attendance record
(5) Photocopy of bank passbook evidencing that the capital contributed by the incorporators has been deposited in a savings account in the name of the proposed company’s preparatory office
(6) Copy of the bank statement showing deposits in, and withdrawals from, the bank account up to the date of issuance of the auditors?report
(7) Balance sheet and schedule of incorporators?capital contributions as of the date of incorporation, and schedule of expenditures from the capital
(8) Photocopy of the foreign corporate incorporators?certificate of incorporation
(9) Power of attorney appointing individuals as the foreign corporate incorporators?representatives
(10) Photocopy of passports of foreign individual incorporators
(11) Documents required from directors and supervisors:
(a) Taiwan nationals: Photocopy of household registration or ID card and Consent to act as director, supervisor or chairperson
(b) Foreign nationals: Photocopy of passport and Consent to act as director, supervisor or chairperson
(12) Register of Shares
(13) Chop engraved with Chinese name of the board chairperson
(14) Chop engraved with Chinese name of the company
(15) Registration form


5. Application to local authorities for business license

Documents required:
(1) Application form
(2) Photocopy of building use permit for the building where the company will be located
(3) Photocopy of land use zoning certificate for the land where the company will be located
(4) Photocopy of property tax payment statement for the building where the company will be located
(5) Chop engraved with Chinese name of the board chairperson
(6) Chop engraved with Chinese name of the company
